General terms and conditions of sale.
1. Purpose
These general terms govern the services provided by Charlie Makaia (Toony Studio) to any professional client.
2. Quote and order
Every service is subject to a prior quote, valid for 30 days. Signing the quote constitutes a firm order and acceptance of these terms.
3. Payment terms
Unless otherwise stipulated: 30% deposit at order · 40% mid-project · 30% at final delivery. Payment by wire transfer within 30 days. Late: statutory interest + €40 collection indemnity.
4. Delivery times
Deadlines are indicative and start from receipt of all necessary elements. Any delay attributable to the Client postpones delivery accordingly.
5. Intellectual property
Intellectual property is transferred to the Client after full payment. The Provider retains commercial reference rights unless declined in writing.
6. Confidentiality
Each party commits to treat as confidential any information learned during the services.
7. Termination
In case of serious breach, the other party may terminate 15 days after formal notice remaining without effect. Services rendered become immediately due.
8. Liability
The Provider's liability is limited to the net amount of services performed. No liability for indirect damages.
9. Applicable law and disputes
French law. Disputes: Pointe-à-Pitre Commercial Court.
